
Development and Syndication of the Good Governance Charter for State-Owned Enterprises in Iraq
BACKGROUND & OBJECTIVE
State-Owned Enterprises (SOEs) play a crucial role in Iraq’s economy, yet many face governance inefficiencies, lack of transparency, and weak institutional frameworks. To enhance the governance, efficiency, and accountability of SOEs, a comprehensive legal and institutional assessment was conducted to review the existing governance framework.
The primary objective of the project was to:
- Evaluate the prevailing governance structure of SOEs against international best practices.
- Conduct a gap analysis between legal frameworks (de jure) and actual governance practices (de facto).
- Develop a Good Governance Charter aligned with global standards.
- Engage stakeholders from the public, private, and civil society sectors for consensus-building.
- Create a multi-phase implementation roadmap to ensure structured adoption of governance reforms.
By integrating legal, institutional, and operational insights, the project aimed to establish a robust governance model that fosters transparency, accountability, and efficiency in Iraq’s state-owned enterprises.
PROJECT APPROACH
A structured, multi-phase approach was adopted to analyze, benchmark, and implement corporate governance best practices:
